Terms & Conditions - Affiliate Program

Eligibility

1. Participation in the Affiliate Program (hereinafter, the "Program") is open to individuals who are at least 18 years old and who have a valid account with Lavarage. Participation is also subject to any restrictions imposed by applicable laws in the participant's country of residence. Any individual found to be in violation of these eligibility requirements will forfeit their rights to rewards and commissions under this Program.

Enrollment and Participation

1. To participate in the Program, Affiliates/Referrers must complete the registration process via the Lavarage website and agree to the Program's terms and conditions. Affiliates/referrers are responsible for promoting Lavarage in a lawful and ethical manner, and are prohibited from engaging in spamming, false advertising, or other misleading promotion techniques. Participation in the Program is conditional upon compliance with these terms, and Lavarage reserves the right to revoke participation for any breach of these conditions.

Rewards

1. To maintain Affiliate status, an Affiliate has to ensure that within three (3) months from the date that Affiliate status is conferred, the Affiliate achieves either (i) 50 or more Referees, or (ii) aggregate traded volume of the Affiliate’s Referees in excess of 200 SOL.

2. For the avoidance of doubt participants in this Program may either be an "Affiliate" or a "Referrer," but not both. Upon registering as an Affiliate, a participant will cease being a Referrer for the purposes of paragraph 6 below. Participants are prohibited from enrolling or acting as both an Affiliate and a Referrer simultaneously.

Modification and Termination

1. Lavarage reserves the right to modify or terminate this Program at any time, with or without notice. Any changes to the Program will be communicated to participants via email or through our website. Such changes will take effect immediately unless stated otherwise. Continued participation in the Program following any modification constitutes acceptance of the new terms.

Compliance with Laws

1. Affiliates/referrers agree to comply with all applicable laws and regulations, including but not limited to those related to advertising, privacy, and data protection. Affiliates are responsible for ensuring that their promotional activities comply with the laws of their country of residence and the countries in which they operate.

Intellectual Property

1. Affiliates/referrers are granted a limited, non-exclusive, revocable license to use Lavarage’s trademarks, logos, and promotional materials solely for the purpose of promoting the Program. Affiliates/referrers may not modify or create derivative works of any materials provided by Lavarage without prior written consent. All intellectual property rights remain the exclusive property of Lavarage.

Prohibited Activities

1. Affiliates/referrers are prohibited from engaging in the following activities:

• Spamming or sending unsolicited emails.

• False advertising or making false claims about Lavarage’s products or services.

• Using unauthorized channels, such as websites or forums that violate third-party terms of service.

• Any activity that violates applicable laws or infringes upon the intellectual property rights of Lavarage or third parties. Violation of these prohibitions will result in immediate termination from the Program and forfeiture of all earned commissions.

Relationship of Parties

1. Participation in the Program does not create any partnership, agency, franchise, joint venture, or employment relationship between Lavarage and the affiliate/referrer. The affiliate/referrer is considered an independent contractor and is solely responsible for their own tax obligations, business expenses, and liabilities.

Limitation of Liabilities

1. In no event shall Lavarage be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with this Program, even if advised of the possibility of such damages.Lavarage’s total liability for any claim under the Program shall not exceed the total amount of commissions paid to the affiliate/referrer in the preceding 12-month period.

Dispute Resolution

1. Any disputes arising out of or related to the Program shall be governed by the laws of Panama. The parties agree to first attempt to resolve the dispute informally by negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration under the rules of the London Court of International Arbitration and the decision of the arbitrator shall be final and binding.

Miscellaneous

1. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

2. This Agreement constitutes the entire understanding between the parties regarding the Program and supersedes all prior agreements or understandings.

3. Lavarage shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, war, or governmental action.
